In Switzerland, the taxable profit is determined on the basis of the so-called "principle of primacy" of the commercial balance sheet over the tax balance sheet ("Massgeblichkeitprinzip"). This means that annual accounts drawn up in accordance with commercial law are binding on the tax authorities unless tax law provides otherwise.

The tax authority is therefore entitled to make corrections if the company draws up annual accounts that are too conservative and therefore too far removed from its real economic capacity. In this context, the tax advisory service checks the annual accounts prepared under commercial law and their deviations from tax law and considers possible measures.


TAX SAFE

We audit the annual accounts and provide an indication of the tax risks your company is exposed to.

The analysis of the annual accounts is deepened in order to identify and possibly quantify latent tax risks. Control measures are then proposed to improve the management of tax risks in the company. This tax control includes not only compliance with the tax rules of Swiss laws (direct and indirect taxes, cantonal taxes and duties, social insurance) but also places a special focus on the relationships between associated companies and their shareholders. In addition, compliance with company law regulations such as the rules on accounting and the presentation of accounts - Art. 957 ff. of the Swiss Code of Obligations - Rs 220 - is also checked.


TAX CLOSING

We assist you with the complete closure of accounts, with a focus on tax-sensitive items in the annual accounts.

Through close cooperation with the accounting department of the company, we support the company in the tax-accounting closure. The service includes optimisation (tax force) and verification of tax risks (tax safe), as well as general advice on other aspects of tax closure (VAT, personnel costs, any extraordinary events), preparation of annual accounts, preparation of minutes of shareholders' meetings, preparation of tax returns, and fulfilment of FTA notifications.
On request, we can implement monthly, quarterly or half-yearly interim closures.

Personnel management

We support the company in the complete personnel management and payroll accounting. We prepare monthly and/or annual pay slips, proceeding with the end of the year payroll declaration for social insurance (OASI), withholding tax and other private insurance (OAI/LPP, etc.), and finally prepare the annual payroll certificate in accordance with the relevant provisions. Finally, we also provide assistance in the event of inspections by the relevant authorities. We aim for digital management of the OASI, private insurance and withholding tax declaration processes through the use of IT systems and online platforms.

BOD domiciliation and administration services

Starting 1st July 2015, the law requires all public limited companies to be represented by a person whose place of residence is in Switzerland. For all companies that make this request, in combination with domicile at our office, we act as administrator, position that among other tasks includes in particular the exercise of intransmissible powers (Art. 716a Swiss Code of Obligations). Our aim is to perform this high-responsibility activity to the best of our ability, providing the company with active support in the management of the company, in compliance with the laws in force.
